Intentiv Pty Ltd (ABN 24 679 070 270) (the 'Company'). These terms take effect when published on the Company's website and apply to every referral made under the programme. By making a referral, or accepting a benefit from one, a firm agrees to these terms.
1. The programme
1.1 When an eligible referring firm refers a new firm to the Company through the programme and that firm becomes a paying customer, the Company credits a reward to the referring firm's account and a reward to the referred firm's account.
1.2 The reward amount for each firm is the amount published on the Company's website for that firm's plan at the time the referred firm first pays for a subscription. It is currently one hundred and fifty dollars ($150). Reward amounts for Enterprise plans are set in the Enterprise agreement. The amount that applies to a firm is fixed at the time of that first payment and is not changed by a later change to the published amount.
2. Eligibility
2.1 The referring firm must be a current customer of the Company with a paid subscription in good standing at the time of the referral and when the reward is applied.
2.2 The referred firm must be new to the Company. A firm is not eligible if it holds, or has ever held, an account with the Company, whether under the same or a different name. The Company determines this by ABN. A firm is also not eligible if it is already attributed to another referring firm or to a referral agent. A firm can be a referred firm once only.
2.3 A firm cannot refer itself. A referral does not qualify if the referring firm and the referred firm are the same firm or have the same ABN. Separate firms under common ownership or control may refer each other, but the Company may withhold or reverse a reward where it reasonably considers that a firm was set up, or an account was opened, mainly to collect rewards.
2.4 A referring firm can receive the referring firm's reward for up to ten (10) referred firms in any rolling twelve (12) month period. There is no limit on the number of firms a referring firm may refer, and each eligible referred firm still receives its own reward. Once a referring firm has received ten rewards in a rolling twelve month period, it will not receive further referring firm rewards until that period has passed. Firms that want to refer at volume may apply to join the Company's referral agent programme.
3. How a referral is counted
3.1 A referral is made only through the programme, in one of two ways: the referring firm sends an invitation to the referred firm from its dashboard, or the referred firm opens its account using the referring firm's referral link or code. A referred firm is attributed to the referral code it enters, or arrives with, when it completes its account details. Sending an invitation to a firm, or introducing a firm to the Company, does not reserve that firm. Where a firm has received more than one invitation, link or code, the one it uses when completing its account details is the one recorded. Referrals made in any other way, including by email, phone or notice to the Company, are not counted.
3.2 The Company's records determine whether a referral qualifies and to whom a firm is attributed, and are final.
3.3 Only one referral is recorded for each referred firm, and the referring firm's reward is credited to one referring firm only. The Company may correct a recorded referral before any reward has been credited, where it is satisfied that a link or code was used in error. Once a reward has been credited for a referred firm, its attribution does not change.
3.4 A referring firm may only send an invitation to a firm it has an existing business relationship with, or that has asked it for the invitation. The Company sends each invitation once, and may allow a single resend after twenty-four (24) hours, identifies the referring firm as the source, and includes a way for the recipient to opt out of further messages. Invitations are limited to one per email address per referring firm and to a daily number set by the Company. A referring firm must not use the programme to send repeated or unsolicited invitations to the same firm.
3.5 The referring firm's dashboard shows, for each firm it has invited or referred, only whether that firm has opened an account, whether it has started paying, and whether a reward has been credited. The Company does not share any other information about a referred firm with the referring firm.
3.6 The Company issues each referring firm a referral code. A referring firm may change its code. A replaced code continues to attribute new firms to the same referring firm and is not reissued to any other firm. A referral code identifies the referring firm by name, and by sharing its code or link a referring firm discloses that it is a customer of the Company.
4. The reward
4.1 Rewards are credited thirty (30) days after the Company receives the referred firm's first subscription payment, provided that at the end of that period the referred firm's subscription is still active and no payment made by the referred firm has been refunded, disputed or charged back. If either condition is not met, no reward is credited to either firm.
4.2 Rewards are credited as referral credit. Referral credit is held separately from any credit included in a firm's subscription plan. It does not count toward any limit on included plan credit, and does not change the credit added to a firm's account under its plan each month.
4.3 Referral credit can be used only to pay for verification and check charges at the Company's standard prices, and is used only after the firm's included plan credit for the billing period has been used and before any prepaid balance the firm holds. Referral credit cannot be used to pay subscription fees, is not transferable, has no cash value and cannot be redeemed for cash.
4.4 Referral credit does not expire while the firm's account remains open. Any unused referral credit is forfeited when the firm's subscription ends.
4.5 If a payment on which a reward was based is later refunded, disputed or charged back, or a reward was credited in error or in breach of these terms, the Company may reverse the associated referral credit in either or both accounts. If the credit has already been used, the Company may invoice the firm for the checks run using it, at the Company's standard prices.
5. Referral agents and no double reward
5.1 The Company also operates a separate referral agent programme under written agent agreements. A firm attributed to a referral agent does not generate rewards under this programme, and no single introduction is rewarded under both this programme and an agent agreement.
5.2 A person appointed as a referral agent is not eligible for rewards under this programme for firms they introduce. Those introductions are attributed under their agent agreement.
6. Conduct
6.1 Referring firms must not send unsolicited electronic messages in breach of the Spam Act 2003 (Cth), must comply with the Privacy Act 1988 (Cth) in handling any personal information, including the contact details of any firm they invite, and must not make misleading or unauthorised claims about the Company or its services.
7. Changes and termination
7.1 The Company may change the reward amount, or amend, suspend or end the programme, at any time by updating these terms on its website. Referral credit already credited to an account is not affected by a change, and remains subject to clause 4.
7.2 The Company may withhold or reverse a reward where it reasonably considers there has been fraud, abuse or a breach of these terms.
8. General
8.1 These terms are governed by the laws of Victoria, Australia. Nothing in the programme creates any agency, partnership or employment relationship between the Company and any firm.
